Sherritt International Corporation confirmed receipt of an unsolicited, non-binding recapitalization proposal from a consortium comprising Kyma Capital, Glencore Ltd., and an unnamed U.S. anchor investor. The proposal is explicitly described as non-binding, conditional, and not currently executable. The board will evaluate it in accordance with fiduciary duties, while continuing to engage with stakeholders on the company’s significant operational and financial challenges. The release also reiterates risks from U.S. sanctions, TSX listing requirements, and enforcement of legal rights in foreign jurisdictions.
Sherritt International Corporation issued a statement on August 7 responding to a previously publicized proposal from a consortium. The consortium had disclosed terms of C$0.12 per share, which would grant them 55% control post-transaction and was fully funded. Sherritt International Corporation is a Canadian mining and energy company whose value is almost entirely tied to its 50% stake in the Moa nickel‑cobalt joint venture in Cuba and the wholly‑owned Fort Saskatchewan refinery in Alberta. It also holds a 33% interest in Energas, which handles power generation in Cuba. All Cuban operations are currently suspended. The company also produces fertilizers and sulphuric acid at the refinery during downtime.
