Cambria settles its Nebari interest through an equity transaction, effectively extending the company’s dilution cycle.

Cambria Gold Mines Inc. (CAMB) issued approximately 1.696 million common shares to Nebari Natural Resources Credit Fund II, LP and Nebari Gold Fund 1 LP. The transaction settles quarterly interest payments totaling $1,786,223.70 CAD for the period from April 1, 2026, to June 30, 2026. The deemed price for the share issuance is $1.053 per share.
The issuance follows the Convertible Facility and Cost Overrun Agreement dated December 30, 2025. Nebari remains an arm's length creditor. The transaction is subject to approval from the TSX Venture Exchange.
