QYOU Media arranges $750,000 private placement

Mr. Doug Barker reports QYOU MEDIA ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OFFERING QYOU Media Inc. has arranged a non-brokered private placement offering of up to 25 million units of the company at a price of three cents per unit for aggregate gross proceeds of up to $750,000. Each unit will comprise one common share in the capital of the company and three-fourths of one common share purchase warrant of the company. Each whole warrant will entitle the holder thereof to purchase one common share at a price of six cents per common share for a period of 24 months from the closing date of the offering. The company requires the net proceeds of the offering for: (i) the repayment of outstanding loans; (ii) the payment of amounts due from the original acquisition of the company's subsidiary, Chatterbox Technologies Ltd.; and (iii) working capital and general corporate purposes. The offering is expected to close on or about Sept. 5, 2025, or such other date as the company may determine, and is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange. The common shares partially comprising the units and the common shares underlying the warrants will be subject to a four-month-plus-one-day hold period commencing on the day of the closing of the offering, pursuant to applicable Canadian securities laws.
