Canary Gold closes $1.68-million private placement

CANARY GOLD CORP. ANNOUNCES CLOSING OF OVERSUBSCRIBED NON-BROKERED PRIVATE PLACEMENT
Canary Gold Corp. has closed its non-brokered private placement to raise gross proceeds of $1,687,500, as previously announced on Aug. 29, 2025. Due to increased demand, the company increased the size of the offering to $1,687,500.
The company issued 6.75 million units at a price of 25 cents per unit for gross proceeds of $1,687,500. Each unit consisted of one common share and one transferable common share purchase warrant. Each warrant entitles the holder to purchase one additional common share of the company at a price of 35 cents for a period of three years from the date of issuance.
The warrants are subject to an acceleration provision whereby if the company's common shares on the Canadian Securities Exchange close at a minimum of 55 cents for 10 consecutive trading days, the company may accelerate the expiry date of the warrants to a date that is 20 days following the issuance of a news release announcing such acceleration. The acceleration provision will become effective four months and one day after the date of issuance of the warrants.
In connection with the offering, the company paid finders' fees to certain finders, consisting of a cash fee of $82,250 and 329,000 common share purchase warrants. Each finder's warrant entitles the holder to acquire one common share at a price of 35 cents per share for a period of three years from the date of issuance and are subject to the same acceleration provision as the subscribers' warrants. The net proceeds of the offering will be used to advance exploration at the company's Madeira River project in Brazil and for general working capital purposes . All securities issued under the offering are subject to a statutory hold period of four months and one day from the date of issuance. The offering remains subject to CSE approval.
