Canary Gold arranges $1-million private placement

CANARY GOLD CORP. ANNOUNCES NON-BROKERED PRIVATE PLACEMENT
Canary Gold Corp., due to strong investor interest following the recent closing of a $1,687,500 private placement (see news release dated Sept. 10, 2025), intends to undertake an additional non-brokered private placement on the same terms.
The offering will consist of up to four million units at a price of 25 cents per unit for gross proceeds of up to $1-million. Each unit will consist of one common share and one transferable common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share of the company at a price of 35 cent sfor a period of three years from the date of issuance.
The warrants will be subject to an acceleration provision, whereby if the company's common shares on the Canadian Securities Exchange close at a minimum of 55 cents for 10 consecutive trading days, the company may accelerate the expiry date of the warrants to a date that is 20 days following the issuance of a news release announcing such acceleration. The acceleration provision will become effective four months and one day after the date of issuance of the warrants.
In connection with the offering, the company may pay finders' fees of up to 7 per cent in cash and up to 7 per cent in warrants, as permitted by the policies of the CSE. The net proceeds of the offering will be used to advance exploration at the company's Madeira River project in Brazil and for general working capital purposes . All securities issued under the offering will be subject to a statutory hold period of four months and one day from the date of issuance. The offering remains subject to CSE approval.
