Winchester arranges $500,000 (U.S.) note with Taxfyle

Mr. Mark Pajak reports WINCHESTER EQUITY CORPORATION ANNOUNCES NEW LOAN AGREEMENT Winchester Equity Corp. has entered into a new secured promissory note with Taxfyle Inc. Background Winchester has agreed to provide Taxfyle with a short-term loan facility of $500,000 (U.S.) due to be repaid on or before Aug. 15, 2026. The facility bears a flat interest rate of 5 per cent ($25,000 (U.S.)). Taxfyle, an arm's-length company, is a rapidly growing tax preparation/filing company, located in Miami, Fla. The firm has developed a proprietary human-touch, agentic artificial intelligence tax preparation platform, which is utilized by its clients to source licensed CPAs to automate up to 70 per cent of return preparation. The company accordingly confirms that is entered today into a secured promissory note of $500,000 (U.S.). The promissory note is secured against the assets of Tafyle, such security including a pledge of specific receivables in excess of the loan amount plus interest. Regulatory considerations The promissory note constitutes an arm's-length transactions (as such term is defined in Policy 1.1 of the TSX Venture Exchange). No non-arm's-length parties of the company (as such term is defined in Policy 1.1 of the TSX-V) have any direct or indirect interest in, or relationship with, Selma, nor are they insiders of Selma.
