Bunker Hill And Silver47 Complete Merger to Create a 'Made in America' U.S. Silver & Critical Minerals Producer

Silver47 completes its merger on unchanged terms, resulting in a pro forma value that has halved since August.

Executive Summary

Bunker Hill has completed its acquisition of Silver47 Exploration Corp. (AGA), finalizing the merger originally announced on August 21, 2026. The transaction was approved by shareholders on October 27, 2026, with votes passing at 94.69% and 95.07% for Bunker Hill, and 97.57% and 96.48% for Silver47 excluding minority interests. The British Columbia Supreme Court granted its final order on November 2, 2026, clearing the way for the closing.

Under the terms of the arrangement, each Silver47 share converts into 0.1724 Bunker Hill shares. Bunker Hill issued 36,325,517 new shares to effect the merger, resulting in 83,667,856 shares outstanding post-closing. This implies a pre-existing Bunker Hill share count of 47,342,339. Convertible securities remain exercisable for up to 13,901,231 Bunker Hill shares, representing approximately 16.6% of the post-closing share count on a fully diluted basis. On an undiluted basis, ownership is split between approximately 57% legacy Bunker Hill shareholders and 43% former Silver47 holders.

The combined entity intends to change its name to "Bunker Hill Silver Corp." and will remain listed on the Toronto Stock Exchange (TSX). Silver47 is scheduled to be delisted from the TSX Venture Exchange, Frankfurt, and OTCQX on or about November 9, 2026, and will cease to be a Canadian reporting issuer. The TSX has granted conditional listing approval for the new shares.

The board of directors includes Executive Chairman Richard Williams, Lead Independent Director Mark Cruise, and directors Sam Ash, Gary Thompson, Galen McNamara, Pamela Saxton, and Kelli Kast. Management retains Williams as Executive Chairman, Sam Ash as CEO, Galen McNamara as President and Chief Investment Officer, and Bradley Barnett as CFO. The operational headquarters will remain at the Bunker Hill Mine site in Silver Valley, Idaho.

The company reaffirmed its target to begin commercial production by the end of 2026. Output for 2027 is expected to exceed 2,500 koz AgEq, based on analyst consensus projections. The Bunker Hill 2.0 expansion to 2,500 tonnes per day is cited as the path toward generating more than 5 moz AgEq annually.

The combined mineral resource estimate includes 80 moz AgEq in measured and indicated categories and 308 moz AgEq in inferred resources across four U.S. projects. The Silver47 assets alone account for 236 moz AgEq in inferred resources at 334 g/t and 10 moz AgEq in indicated resources at 333 g/t. The remaining resources are attributed to the Bunker Hill Mine level, arithmetically totaling approximately 72 moz inferred and 70 moz measured and indicated. A Combined Mineral Resource Summary table was not included in the release, preventing verification of project-level tonnes, grades, and cut-offs.

The pro forma basic market capitalization is stated at US$158M. Eventus Capital will receive part of its Silver47 advisory fee in Bunker Hill shares, priced at the five-day volume-weighted average price preceding the announcement of the issuance. These shares are subject to TSX approval and a four-month-and-a-day holding period.

Management described the company as a "Made in America" operation and a "U.S. Government Partner of Choice," citing relationships with the EPA, EXIM Bank, DOE, and the Office of Strategic Services. These claims are not quantified, contracted, or dated. The pro forma market capitalization of US$158M stands in contrast to the US$326M pro forma market capitalization targeted in the August 21, 2026 announcement.

Material Impact

Silver47 Exploration Corp. (AGA) has completed a court-ordered transaction on the exact terms previously disclosed, finalizing a merger that includes the delisting, board composition, management structure, and production milestones outlined in earlier filings. The closing removes deal-break and financing-condition risk, locking in the combined asset base and a 57/43 ownership split. The transaction involves no new operating data, financial disclosure, change to consideration, or new capital commitment.

The release quantifies a significant decline in combined market capitalization, dropping from US$326 million at the announcement to US$158 million at closing, a decrease of approximately 52%. This figure is arithmetically consistent with the last Silver47 close of C$0.45 divided by the exchange ratio of 0.1724, which implies approximately C$2.61 per Bunker Hill share. Multiplying C$2.61 by the 83,667,856 Bunker Hill shares results in approximately C$218 million, or US$159 million, matching the reported US$158 million pro forma value.

The deal was originally struck at an implied C$0.93 per Silver47 share, representing a 38% premium to the C$0.675 close on August 20, 2026. However, the current trade price of C$0.45 indicates that the premium has been fully competed away. Former Silver47 holders are receiving 43% of the combined entity at a valuation that reflects a halving of the original pro forma market cap, while Bunker Hill holders have absorbed the de-rating.

Regarding production guidance, the headline figure of "+2,500 koz AgEq in 2027" is footnoted as analyst consensus rather than company guidance. Management’s own 2027 guidance remains "expected by end of 2026," as stated in the October 28, 2026 release. Operational context from that prior date indicates that plant throughput was averaging above 1,100 tonnes per day, compared to the 2,500 tonnes per day target for Bunker Hill 2.0. Lead and zinc recoveries were averaging greater than 70%, with commercial production targeted for the end of the fourth quarter of 2026. These metrics do not yet reflect commercial production levels.

Financially, both debt facilities are now fully drawn. On October 28, 2026, Bunker Hill drew the full US$10 million Ocean Partners concentrate prepayment and the final US$2 million of the US$10 million Teck standby facility, totaling US$20 million in aggregate. This follows the August 21, 2026 disclosure that Silver47 would make available up to US$5 million of unsecured debt to Bunker Hill pre-closing, indicating that the builder has consumed its committed liquidity and has been effectively funded by its acquisition target.

Dilution from up to 13,901,231 Bunker Hill shares issuable on convertibles, representing 16.6% of the share count, remains a factor. Using the pre-merger Silver47 warrant strike of C$1.40 and the 0.1724 ratio, the adjusted strike is approximately C$8.12 per Bunker Hill share. This is deep out of the money compared to the implied price of approximately C$2.61, suggesting low near-term dilution but establishing a cap on upside if the business case succeeds.

Disclosure quality in the release was limited. A combined resource table did not render, and the filing omitted the Bunker Hill balance sheet, cash figures for the combined entity, integration cost estimates, and a statement on whether the US$5 million Silver47-to-Bunker Hill facility was advanced. The omission of a pro forma treasury number is notable given the emphasis on enhanced treasury in the investment thesis.

Company Overview

Bunker Hill Silver Corp. is the post-closing combination of two U.S.-focused silver companies: Bunker Hill Mining Corp. and Silver47 Exploration Corp.

Bunker Hill Mining Corp. operates the Bunker Hill Mine in northern Idaho's Silver Valley, a historic lead-silver-zinc mine being restarted and currently ramping toward commercial production targeted for the end of Q4 2026. This is the flagship asset, the only cash-flow-generating operation, featuring an existing mill, established infrastructure, and a local workforce. Zinc concentrate is sent to Teck's Trail smelter, while lead-silver concentrate is sold through Ocean Partners. Bunker Hill 2.0 contemplates a 2,500 tpd operation, which would be the largest mill in the Silver Valley, including a new 6,000 ft portal, plant enhancements, and dry-stack tailings. The technical basis is the 2022 amended and restated NI 43-101 PFS and the 2023 S-K 1300 TRS (effective 2022-08-29); both are four years old and pre-date the current operating reality.

Silver47 Exploration Corp. holds a portfolio of three exploration and development assets: Red Mountain in Alaska, a silver-rich VMS deposit with an inferred resource of 15.6 Mt at ~336 g/t AgEq, equating to approximately 168.6 moz AgEq per the June 2024 report, plus West Tundra Flats; Hughes in Nye County, Nevada, featuring Tonopah district high-grade silver-gold veins at Ruby, Sapphire, and Emerald, plus the Belmont tailings reprocessing concept; and Mogollon in New Mexico, comprising the Last Chance vein system with an inferred resource of 2.72 Mt at 367 g/t AgEq, equating to approximately 32.1 moz AgEq. The portfolio also includes the earlier-stage, 100%-owned, royalty-free Kennedy gold-silver project, consisting of 6,150 acres in Pershing County, Nevada.

The combined position as stated in the release includes 80 moz AgEq measured and indicated and 308 moz AgEq inferred across four U.S. jurisdictions. The company targets 2027 output above 2,500 koz AgEq and has a long-run ambition of plus 5 moz AgEq per year.

The strategic logic involves an operating mine funding an exploration pipeline in a jurisdiction with policy tailwinds and silver on the U.S. critical minerals list. The execution reality is a single small underground mine still short of commercial production, carrying a fully drawn prepayment facility, supporting three drill-stage projects and a marketing budget. That is a heavy burden on one ramp-up.
