Falcon Energy Materials PLC Announces Landmark Acquisition of 49% Strategic Interest in Established Graphite Anode Producer
Falcon buys 49% of a Chinese anode producer for us$22m cash.

Falcon Energy Materials plc announced on November 3, 2026, that its wholly owned subsidiary, Falcon EMG Holdings Ltd, has entered into a definitive Equity Transfer Agreement to acquire a 49% strategic, non-operating equity interest in Weihai Hensen New Materials Technology Co., Ltd. The transaction, valued at US$22 million in cash, involves purchasing the stake from Weihai’s sole equity holder.
Weihai Hensen New Materials Technology Co., Ltd. is a Chinese graphite anode material producer based in Shandong Province. Founded in 2023, the company has been in commercial production since the second half of 2025. It operates a full 25,000 tpa CSPG production circuit, which includes spheronization, purification, coating, and drying lines, as well as production lines for synthetic and recycled graphite anode materials. The company states that current utilization is below nameplate capacity. According to the release, Weihai is profitable and sells its core products under long-term contracts to leading Chinese anode material manufacturers. No revenue, EBITDA, net profit, asset value, production volume, or valuation multiple was disclosed.
As a non-operating shareholder, Falcon will have the right to nominate one of Weihai’s three directors. The shareholders’ agreement requires unanimous shareholder approval for key matters, including the annual budget and business plan, significant capital expenditures and borrowings, mergers and acquisitions, and related-party transactions. Falcon also receives rights of first offer and first refusal, tag-along rights, and pre-emptive rights. The seller is bound by non-competition and non-solicitation covenants.
The acquisition is fully funded from proceeds of Falcon’s C$34.24 million non-brokered private placement, which closed on September 23, 2026. That placement issued 34,240,000 units at C$1.00 per unit. Each unit consisted of one ordinary share and one-half of a warrant exercisable at C$1.29 for 24 months. Closing is expected by the end of Q4 2026 and in any event on or before January 31, 2027, subject to conditions including registration with China’s State Administration for Market Regulation and foreign exchange registration with SAFE, plus customary approvals. If the acquisition does not close, the release states that the placement proceeds reserved for the acquisition will be redirected to Falcon’s Morocco and international growth plans and general working capital.
The release also noted the routine release from escrow of 3,350,000 units held by AOF Trading LLC following the TSX Venture Exchange clearance of personal information forms. Norton Rose Fulbright is acting as legal counsel to Falcon.
Falcon first disclosed advanced discussions for a strategic minority interest in a Chinese anode producer on September 9, 2026, alongside a C$30 million placement. It upsized the placement to C$34.24 million on September 21 and closed it on September 24. The November 3 release constitutes the definitive agreement following that pre-announced potential acquisition.
Falcon Energy Materials PLC (FLCN) has converted a previously flagged potential acquisition into a concrete 49% stake in an operating 25,000 tpa CSPG producer. The transaction provides Falcon with immediate exposure to Chinese anode production, complements its Morocco anode plant, and includes minority protections. The deal is fully funded from the company’s September raise.
The transaction was previously signposted by Falcon, which announced advanced discussions, a term sheet dated August 6, 2026, and financing specifically intended to fund a strategic minority interest in a Chinese anode producer. The new information identifies the target as Weihai, specifies the 49% stake size, the US$22 million price, a claim of profitability, and the governance package. The market was already aware that Falcon was raising capital for this type of transaction.
Financial materiality cannot be quantified from the release. Weihai’s revenue, profit, production, utilization, assets, and transaction multiples are not disclosed. The statement that the target is “profitable” is company-authored and unquantified. Falcon is buying a non-operating 49% minority stake, so Weihai will not be consolidated. No offtake agreement, supply agreement, or dividend policy with Weihai is announced.
Capital allocation is a key watch item. The US$22 million cash payment consumes most of the C$34.24 million gross September raise. The remaining amount for Morocco and working capital is not specified. The Morocco plant still carries a prior-period US$86 million capex estimate, and the US$65 million non-dilutive financing plus US$5 million equity support announced in April 2026 remains a non-binding term sheet subject to an offtake agreement and definitive documentation. The acquisition improves strategic positioning but does not close the Morocco funding gap.
Closing risk is real. The transaction depends on Chinese regulatory registrations and approvals, including AMR and SAFE, and has a January 31, 2027 backstop. The release provides no assurance that approvals will be obtained on schedule.
Falcon Energy Materials PLC (TSXV: FLCN, OTCQB: FLCNF), a UAE-headquartered company, is targeting development as an integrated supplier of natural coated spheronized purified graphite (CSPG) for battery anodes. The company’s flagship asset is a proposed 25,000 tonnes per annum (tpa) CSPG anode plant at Jorf Lasfar, Morocco.
A technical-economic study conducted in November 2025 outlined the project’s economics and timeline, though these details were not included in the company’s latest release. The study estimated initial capital expenditure at US$86 million, with all-in operating costs projected at US$3,168 per tonne. The facility is designed to produce 26,000 tpa of CSPG and 19,000 tpa of fines. The development plan includes a nine-month engineering phase followed by a 15-month construction and commissioning period, targeting first production in the second half of 2027. Additionally, a pilot plant near Casablanca opened in July 2026 to produce qualification-scale samples for potential customers.
In Guinea, the Lola graphite project was expropriated by the government in May 2025. Falcon initiated a US$100 million International Centre for Settlement of Investment Disputes (ICSID) arbitration claim in March 2026. The company has stated that its current operational focus is Morocco, with the Guinea arbitration serving as a potential recovery option rather than an active operating base.
The company’s leadership team includes Chairman Benoit Lasalle, who previously held roles at Semafo, AYA Gold & Silver, and Sama Resources. President and CEO Matthieu Bos formerly served as Executive Vice President of Africa at Ivanhoe Mines and as Chairman of Sama Resources Quebec. Chief Operating Officer Patrick Moryoussef is a former Vice President of Mining Operations at Semafo and Senior Vice President of Technical Services at Endeavour Mining. Chief Financial Officer Jean-Daniel Joly previously held the position of Vice President of Finance Shared Services at BNP Paribas. Patrick Moryoussef is designated as the Qualified Person under National Instrument 43-101.
