Brixton Metals Announces Closing of First Tranche of Non-Brokered Private Placement
Brixton closes a $6 million flow-through offering to fund exploration at its Canadian projects.

Brixton Metals Corporation (BBB) closed the first tranche of a previously announced non-brokered private placement on November 2, 2026. The company raised gross proceeds of approximately $4.44 million through the issuance of 1,323,545 national flow-through shares (FT Shares) at $0.68 per share and 4,978,874 critical mineral flow-through shares (CMFT Shares) at $0.71 per share.
The proceeds are designated for Canadian exploration expenses and flow-through mining expenditures at the Thorn Copper-Gold Project in British Columbia and the Langis Silver-Cobalt Project in Ontario. The transaction included 79,412 compensation warrants issued to introducers, which are exercisable at $0.68 per share until October 30, 2028. An insider director participated by purchasing 49,295 CMFT Shares, a move classified as a related party transaction exempt from valuation and minority shareholder approval requirements.
All securities carry a statutory hold period of four months and one day, expiring March 1, 2027. The company intends to complete a further tranche of the offering to reach the originally announced $6 million aggregate gross proceeds.
Brixton Metals Corporation (BBB) closed the first tranche of its financing, a direct follow-up to the October 28, 2026 announcement of the $6 million offering. The execution price of $0.68/$0.71 sits slightly above the recent trading range of $0.54-$0.60, indicating stable investor demand and no need for significant discounting to close the tranche. The capital raise extends the company's cash runway by approximately $4.44 million, directly funding the ongoing 60,000-meter drilling program at Langis and the 10,000-meter program at Thorn.
Brixton Metals Corporation (BBB) is an exploration-stage company transitioning toward development, with a portfolio centered on high-grade precious and critical metals. Its flagship asset is the Langis Silver Project in Ontario's historic Cobalt camp. The past-producing mine yielded 10.4 million ounces of silver at a head grade of 777.5 g/t Ag. The company is currently advancing a maiden MRE on historic tailings and expanding high-grade vein mineralization in the Shaft 6 area.
The company’s secondary projects include the Thorn Copper-Gold Project in British Columbia, which features Camp Creek porphyry and Trapper gold targets; the Hog Heaven copper-gold porphyry in Montana, which is optioned to Ivanhoe Electric; the Atlin Goldfields in BC, optioned to Eldorado Gold; and the Silvergruvan silver project in Sweden, where an option agreement closed in October 2026. Management is led by Chairman and CEO Gary R. Thompson, P.Geo., who has a documented track record in public market financings and exploration.
