QGold Completes First Milestone Payment for Quartz Mountain Gold Project Through Share Issuance
Q-Gold issues shares to settle Alamos milestone, advancing its Oregon project.

Q-Gold Resources Ltd. has fulfilled its initial annual milestone payment obligation to Alamos Gold Inc. under the Share Exchange Agreement governing the Quartz Mountain Gold Project. The settlement was executed through the issuance of 22,859,861 common shares to Alamos, valued at approximately C$0.1937 per share based on the 10-day volume-weighted average price, resulting in a total value of roughly C$4.43 million.
Following the transaction, Alamos Gold’s ownership stake in Q-Gold Resources Ltd. increased to 16.96% of the company’s outstanding common shares. The newly issued shares are subject to a four-month statutory hold period, which is set to expire on February 23, 2027. Q-Gold Resources Ltd. stated it remains focused on advancing technical, engineering, and permitting programs at the Quartz Mountain project to progress toward production.
Q-Gold Resources Ltd. (QGR) issued shares to satisfy a milestone payment under its October 2025 acquisition agreement, a standard contractual obligation that aligns with the previously disclosed SEA structure. The issuance carries a dilutive impact of approximately 11.8% relative to the pre-announcement share count but requires no cash outflow, thereby preserving liquidity for ongoing exploration and permitting activities.
The transaction meets historical expectations and does not alter the project's economic profile, timeline, or risk matrix. As the market had already priced in the milestone payment schedule when the acquisition was announced, the event carries no immediate price catalyst or new fundamental upside or downside.
Q-Gold Resources Ltd. (TSXV: QGR, OTCQB: QGLDF, FRA: QX9G) is a pre-revenue gold exploration and development company. Its flagship asset is the Quartz Mountain Gold Project in Lake County, Oregon, which has advanced to the preliminary economic assessment (PEA) stage. The PEA outlines a 14-year mine life with 1.9 million ounces of life-of-mine production, a $1.71 billion net present value at a 5% discount rate, and a 55.2% internal rate of return at a gold price of $3,265 per ounce.
The company also holds secondary assets, including the Angel's Camp property adjacent to Quartz Mountain, which features high-grade vein targets, and the Mine Centre project in Ontario, a historic gold camp characterized by quartz vein stockwork systems. Q-Gold Resources is currently transitioning from exploration to advanced development, with permitting and engineering studies underway.
