Elemental Royalty Announces First Close of Royalty and Streaming Portfolio Alongside Upsized US$250M Credit Facility
Elemental closes Orion portfolio and upsizes credit facility, though execution risk and leverage weigh on near-term multiples.

Elemental Royalty Corporation has completed the acquisition of four royalty and stream assets from Orion Mine Finance Management LP, including the Ruby Hill Complex and Granite Creek silver streams, the Kouroussa gold stream, the Homestake District royalty, and the La Negra royalty. The total consideration for the transaction amounted to US$188 million in cash plus 3,942,881 common shares, bringing the company’s issued and outstanding share count to 76,471,207.
Concurrently, Elemental Royalty amended and increased its revolving credit facility from US$150 million to US$250 million, with an additional US$50 million accordion feature available to expand the facility to US$300 million. The facility carries a three-year term, which is extendable by mutual agreement, and bears interest at SOFR plus 2.25%-3.5% depending on leverage.
The Snowy River gold stream is excluded from this closing and is expected to close separately in Q1 2027, pending New Zealand regulatory approvals. This release executes the strategic restructuring announced on September 21, 2026, which also included the divestment of the Generation Business to Carlin East and a CEO transition to Frederick Bell.
Management highlighted updated development plans for Ruby Hill, prioritizing Mineral Point with a Pre-Feasibility Study (PFS) targeted for mid-2027. Additionally, a new Preliminary Economic Assessment (PEA) for La Negra indicates 4.1 moz AgEq annually over an 8.2-year mine life, with 2,500 tpd throughput starting in the second half of 2027.
Elemental Royalty Corporation (ELE) has closed its Orion portfolio acquisition, a transaction that adds immediate revenue from the La Negra and Kouroussa assets, alongside development-stage upside from Ruby Hill and Homestake. The deal was financed entirely through debt via an upsized credit facility, shifting the company from a net-cash position to a leveraged one with net debt rising to approximately US$188 million.
The transaction results in a share count dilution of approximately 5.1%. The market has already priced in the deal execution, with the stock declining approximately 19% since the August 11 earnings release. While the acquisition offers positive differentiation from prior guidance in terms of asset quality and jurisdictional diversification, the increase in leverage and the new management transition introduce execution risk.
Elemental Royalty Corporation operates as a royalty and streaming company focused on precious and base metals. The company has pivoted toward simplifying operations, divesting generation assets, and acquiring producing and development-stage royalties and streams.
Its pro forma portfolio includes cornerstone producing assets at Karlawinda, Bonikro, Caserones, Timok, and Leeville, alongside newly acquired Orion assets at La Negra, Kouroussa, Ruby Hill, and Homestake, with Snowy River pending. By net asset value, the commodity split is 48% gold, 27% copper, 18% silver, and 7% other. Geographically, 21% of the portfolio is located in the US and Canada, while 79% is in the rest of the world.
