Elemental Royalty Completes the Acquisition of Vizsla Royalties and Its 2-3.5% NSR Royalties on the Panuco Project
Elemental closes its Panuco royalty deal, finalising the transaction without delivering any new economic surprises to the market.

Elemental Royalty Corporation has completed its previously announced court-approved plan of arrangement to acquire 100% of Vizsla Royalties Corp. The transaction secures the life-of-mine 2.0% to 3.5% net smelter return royalty on Vizsla Silver Corp.'s Panuco silver-gold project in Mexico. The royalty terms are uncapped, with no buybacks or step-downs, and cover the entire existing resources at Panuco.
Elemental paid approximately C$82 million in cash and issued approximately 8,107,478 common shares as part of the deal. Consequently, former Vizsla Royalties shareholders now own approximately 11.19% of the outstanding Elemental shares. Vizsla Royalties shares are expected to delist from the TSXV on or about September 16, 2026, and the company will apply to cease reporting. The release contains no new production, cost, reserve, or financial guidance.
