Apogee Minerals Expands Knife Lake Copper Project Land Package Through Acquisition of Adjacent Mineral Claims from Eagle Plains Resources

Apogee pursues low-cost land consolidation at Knife Lake while facing a liquidity crisis that demands a near-term capital raise.

Executive Summary

Apogee Minerals Ltd. has entered into a purchase agreement to acquire a 100% interest in five mineral claims, known as the Eagle Plains Claims, from Eagle Plains Resources Ltd. The transaction consolidates Apogee's land position around the Knife Lake Copper Project in Saskatchewan.

The consideration for the deal includes $20,000 in cash, the issuance of 1,000,000 common shares subject to a four-month and one-day hold period, and a 2.5% Net Smelter Returns (NSR) royalty. Apogee holds an option to buy down 1.0% of the royalty for $2,000,000, which would reduce the royalty to 1.5%.

Upon closing, the total land package will expand to 59 claims comprising approximately 37,220 hectares. Closing is expected on or before November 16, 2026, subject to TSX Venture Exchange acceptance and customary conditions. The acquisition follows the September 16, 2026 closing of the primary option agreement with Trident Resources Corp.

Material Impact

Apogee Minerals Ltd. (APMI) has completed an acquisition that management describes as an incremental step in its strategy to consolidate ground around the Knife Lake Deposit. The transaction carries a minimal financial impact, requiring a cash outlay of $20,000 and the issuance of 1,000,000 shares, which represents approximately 1.2% dilution on the company’s ~84.2 million outstanding shares.

The deal includes a 2.5% NSR royalty, which is standard for early-stage claim acquisitions. It also features a $2,000,000 buydown option that is entirely discretionary and was not triggered by this announcement. The company remains a pre-revenue explorer with negative equity and critically tight liquidity, and the fundamental risk profile has not changed. The market had already priced in land consolidation efforts, making this a routine follow-up rather than a market-moving event.
