Rock Tech Lithium Closes Previously Announced Private Placement at C$6 Million
Rock Tech secures financing to extend its runway for multi-billion-dollar mine-to-converter ambitions.

Rock Tech Lithium Inc. (RCK) has closed its previously announced upsized non-brokered private placement, raising approximately C$6.0 million in gross proceeds. The company issued 9,219,301 units at a price of C$0.65 per unit. A strategic investor subscribed to C$3.25 million of the offering, representing over 50% of the total proceeds.
Each unit includes one-half of a common share purchase warrant, exercisable at C$0.90 per share for 36 months. Finder's compensation included C$161,702.70 in cash and 251,771 finders' warrants exercisable at C$0.65 for 24 months. Net proceeds are allocated to advancing the Definitive Feasibility Study (DFS) for the Georgia Lake Mine, developing the Red Rock Converter in Ontario, and general corporate/working capital purposes. Securities are subject to a statutory hold period of four months plus a day, pending final TSX Venture Exchange approval.
Rock Tech Lithium Inc. (RCK) has closed a C$6 million financing, an expected incremental step in its capital raising campaign that follows the initial announcement in August 2026 and the upsize announcement in September 2026. The funds provide necessary working capital to fund the ongoing DFS for Georgia Lake and early engineering for the Red Rock Converter. This financing does not materially alter the long-term capital intensity of the projects; the preliminary DFS for Red Rock indicates total capital costs of approximately CAD$596 million, meaning this C$6 million raise covers only a fraction of the required project financing.
The inclusion of a strategic investor subscribing to C$3.25 million serves as a validation of the Guben project's fundamentals. However, the dilutive nature of the unit offering, which includes warrants, and the small size of the raise relative to the company's multi-billion-dollar development pipeline limit the immediate market-moving impact. The use of proceeds aligns with management's stated milestones to complete technical studies before seeking major project financing or reaching a Final Investment Decision (FID).
Rock Tech Lithium Inc. (RCK) operates an integrated "mine-to-converter" strategy focused on the North American and European lithium supply chains. The company’s flagship projects include the wholly-owned Georgia Lake Mine in Ontario, Canada, where preliminary test work suggests ore sorting could reduce concentrator capital expenditures by up to 50%.
Also in Ontario, the planned Red Rock Converter is designed for 30,000 tonnes per annum of lithium salts. A preliminary definitive feasibility study indicates total capital costs of approximately CAD$596 million, with construction targeted for the second half of 2027. In Germany, the Guben Converter is a fully permitted, shovel-ready facility designed to produce 24,000 tonnes of lithium hydroxide monohydrate annually. Recently designated a strategic project under the EU Critical Raw Materials Act (CRMA), its capital expenditure was optimized to approximately €680 million.
The company is currently pre-revenue, relying on equity financings, government grants, and offtake prepayments to fund development.
