Franco-Nevada Becomes Significant Shareholder of Kenorland Minerals
Franco-Nevada acquires a 12.4% stake in Kenorland from insiders without injecting new capital into the junior explorer.

Franco-Nevada Corporation (FNV), a leading gold-focused royalty and streaming company, acquired 10,000,000 common shares of Kenorland Minerals Ltd., representing approximately 12.42% of the outstanding shares. The transaction, executed through private agreements at C$2.22 per share, totaled C$22.2 million. The shares were purchased from existing insiders, with 7,950,000 shares acquired from John Tognetti and 2,050,000 shares from Zach Flood, the company’s President and CEO.
This transaction constitutes a secondary transfer between an incoming strategic holder and existing insiders, meaning no proceeds flow to Kenorland. Consequently, the company's cash, share count, and capital structure remain unchanged by the deal. Following the sale, Tognetti’s holdings decreased from approximately 13.80% (11,115,603 shares) to approximately 3.93% (3,165,603 shares), and he ceases to be an insider. Flood retains 3,422,888 shares after selling 2,050,000.
FNV stated that it acquired the shares for investment purposes with no current plan to acquire more, dispose of them, or take other enumerated actions, while reserving the right to do so in the future. Early warning reports will be filed under NI 62-103. In a statement, the CEO welcomed FNV as "one of the most respected names in royalties and streaming."
Franco-Nevada has taken a 12.42% strategic position in Kenorland Minerals Ltd., marking the first time the global royalty and streaming leader has invested in the junior. This transaction represents new information, as Franco-Nevada held zero shares prior to the deal. The move is significant given Kenorland’s core value driver: its royalty book, which includes a 4% net smelter return on the Frotet/Regnault project containing 2.55 million ounces of inferred resources, alongside a portfolio of option and joint venture assets. Franco-Nevada’s business model centers on acquiring royalties and streams, making this entry stake a plausible precursor to future transactions on Kenorland’s pipeline or potential strategic interest in the company itself.
The transaction involved a secondary sale of insider shares, meaning Kenorland received no cash, dilution relief, or balance-sheet benefit, and the company’s fundamentals remained unchanged on the day of the trade. Tognetti, a long-standing holder who previously owned approximately 13.8%, effectively exited the position, reducing his stake to 3.93% and no longer holding insider status. The CEO sold 2.05 million of his own shares, retaining 3,422,888. While insider selling by a sitting chief executive is typically viewed as a caution flag, the incoming strategic buyer absorbed this supply at C$2.22.
The C$2.22 transaction price aligns closely with the last market print of C$2.23 on 2026-10-05 and sits near the lower end of the 2025-2026 trading range. This level provides a psychological reference point but does not constitute a premium, and thus should not be interpreted as a valuation endorsement significantly above market levels. The absence of new capital and the nature of the insider selling temper the impact of the deal. Price reaction cannot yet be determined as the release was issued after the 2026-10-05 close.
Kenorland Minerals Ltd. (KLD) is a Vancouver-based project-generation and royalty company focused on early-stage to advanced gold exploration in North America, primarily Canada. The company advances greenfield projects through systematic phased exploration financed largely by option and joint venture partners, while retaining royalties and carried interests.
The company’s flagship value driver is the Frotet Project in Quebec, where Kenorland holds a 4% NSR royalty. The project is 100% owned and operated by Sumitomo Metal Mining Canada Ltd. The Regnault gold system hosts a maiden Inferred Mineral Resource of 14.5 Mt at 5.47 g/t Au for 2.55 moz gold (NI 43-101, SLR Consulting, effective 2025-11-30). Sumitomo holds buy-down rights, including 0.25% for C$3.0M within 5 years and 0.50% for C$30,000 within 10 years, which would reduce the NSR to 3.25%.
Kenorland’s portfolio includes several option and joint venture assets. These include South Uchi with Auranova, which carries 30% to a PEA plus a 2% NSR; Western Wabigoon and Flora with Centerra, which carry 30% to a PFS plus a 2% NSR each; and Opinaca, which carries a 3% NSR and is now 100% owned by Targa. The company also holds 100% of the O'Sullivan project, which was reacquired after Sumitomo’s withdrawal, retaining a 4% NSR in a going-forward scenario. Additionally, Kenorland holds 100%-owned tenure and a large grassroots staking pipeline, with more than 1.5 Mha staked between 2024 and 2026.
