GFG Announces Best Efforts Financing for up to $7 Million
GFG raises C$7m to fund an aggressive drilling campaign at its Timmins project.

GFG Resources Inc. announced a best efforts private placement offering designed to raise up to approximately C$7.0 million in gross proceeds. The capital raise is structured into non-flow-through HD Units, with up to 5,264,000 units priced at C$0.19, alongside flow-through securities consisting of FT Shares at C$0.22 and Premium FT Units at C$0.266, which together aim to generate up to C$6.0 million.
The proceeds are designated for Canadian exploration expenses, specifically flow-through mining expenditures, as well as general corporate and working capital purposes. Each whole warrant attached to the units is exercisable to acquire one additional common share at an exercise price of $0.285 for a period of two years. Paradigm Capital Inc. is acting as the agent for the offering, receiving a 6.0% cash commission plus a 3.0% fee on President's List purchases.
The offering is expected to close on or about October 23, 2026, subject to TSX Venture Exchange acceptance and regulatory approvals. Insiders are anticipated to participate in the transaction, with the company relying on exemptions from formal valuation and minority shareholder approval requirements.
GFG Resources Inc. (GFG) has completed a financing round consistent with its aggressive 2026 exploration roadmap, following the successful C$4.12 million flow-through financing closed in November 2025. The capital injection provides necessary liquidity to fund the planned 6,000 meters of drilling at Aljo, regional sonic and diamond programs at Goldarm, and early-stage work at the Pen Project.
The use of flow-through securities is standard for Canadian junior explorers and aligns with tax incentives for domestic exploration spending. While the transaction is dilutive, it represents an incremental, expected step to maintain operational momentum without introducing unexpected strategic shifts or major partnership upgrades. The financing de-risks near-term cash burn without altering the fundamental exploration thesis.
GFG Resources Inc. is a gold exploration company focused on the Timmins Gold District in Ontario, Canada. Its flagship asset is the 100%-owned Goldarm Property, which spans over 263 km² and hosts multiple targets including Aljo, Nahanni, Hawker, and Carr.
At Aljo, the company has demonstrated strong continuity with high-grade intercepts extending the Hangingwall, Main, and Footwall zones. Recent drilling has extended the HW Zone to approximately 300 meters vertically.
The company also controls the Pen Gold Project, which is under an earn-in agreement with Barrick Gold, and the Dore Gold Project, which is in early greenfield exploration. Management emphasizes a district-scale exploration strategy leveraging structural corridors like the Pipestone Deformation Zone.
