enCore Energy Completes Distribution of Verdera Common Shares to its Shareholders
enCore completes its spin-off while cash burn and permitting delays continue to weigh on its Texas in situ recovery operations.

enCore Energy Corp. completed the distribution of 35,000,000 common shares of Verdera Energy Corp. to its shareholders on September 30, 2026. The distribution was structured as a pro rata special dividend, granting shareholders approximately 0.18 Verdera shares per enCore share. Fractional shares were rounded down, with enCore retaining the residual amounts.
Post-distribution, enCore retains an aggregate of 15,029,332 Verdera shares, maintaining financial exposure to the New Mexico ISR assets. The transaction formally separates the two entities, allowing Verdera to operate with a dedicated shareholder base and management team while enCore refocuses on its South Texas operations and U.S. project pipeline.
enCore Energy Corp. (EU) completed its previously announced spin-off, a corporate separation that had been telegraphed since February and March 2026. The transaction itself was viewed as a routine event, with the market having already priced in the separation.
Following the completion, the stock declined approximately 19%, falling from $1.80 on September 25 to $1.45 on October 1. This drop reflects the ex-dividend adjustment and the market's reassessment of enCore's remaining South Texas operations, which face permitting delays and cash burn, rather than the spin-off transaction itself.
No new operational or financial surprises are embedded in this release. The focus now shifts entirely to enCore's ability to execute on its South Texas ISR pipeline and manage its balance sheet without the Verdera assets.
enCore Energy Corp. (EU) is a U.S.-focused In-Situ Recovery (ISR) uranium producer. The company’s strategy centers on providing clean, domestic uranium fuel using ISR technology with minimal surface disturbance.
