Bocana Resources Corp. Provides a Corporate Update on Various Projects Currently Underway

BOCA · Price

Bocana Resources Corp. (TSXV: BOCA) has issued an update regarding its proposed acquisition by London Gold LLC, confirming that the anticipated listing on the U.S. Nasdaq Exchange was not completed. This failure to list has resulted in a delay in funding and an extension of the capital provision deadline to October 31, 2026.

The original term sheet for the acquisition of Bocana by a new entity (NewCo) controlled by London Gold LLC was predicated on a Nasdaq listing that did not materialize. Consequently, the funding anticipated from that listing is unavailable. London Gold and Bocana are now pursuing a secondary effort through a different Nasdaq-listed entity. The deadline for London Gold to provide approximately US$1,230,000 in capital for deposits and working capital has been extended from September 30, 2026, to October 31, 2026. The company emphasized that no definitive agreement has been executed and there is no assurance the transaction will close.

In other corporate developments, Bocana confirmed it is no longer pursuing the Venture Gold opportunity, determining it was not aligned with the Company's strategic objectives. Additionally, the Letter of Intent for Arizona Bureau of Land Management mining claims expired in late June 2026 due to a lack of funding. Bocana identified geological, legal, regulatory, and commercial matters requiring further evaluation. Sampling, verification, and due diligence are ongoing with accredited and independent laboratories, though no binding agreements exist. The company noted that work completed does not constitute a mineral resource estimate or reserve calculation under NI 43-101. Due diligence continues on other Arizona properties.

Regarding its joint venture with Arizore Ltd. for a digital asset platform, the partnership continues technical, architectural, and commercial evaluation. No binding arrangements have been entered into with prospective strategic or financing participants, and future commercialization is subject to regulatory approvals, including those related to securities and cryptocurrency.

Trading in Bocana's common shares remains halted and is expected to remain so pending TSX Venture Exchange review and further developments. Reinstatement is subject to TSXV approval.

Commenting on the status of the acquisition, the company stated: "The Company wishes to clarify that no definitive agreement governing the acquisition has been executed and there can be no assurance that a transaction will be completed on the terms previously disclosed, or at all." Regarding the Venture Gold opportunity, management added: "Following further review and due diligence, management determined that the opportunity was not aligned with the Company's strategic objectives and has decided not to proceed."
