StrikePoint Announces Effective Date of Consolidation, Refiling of Technical Report and Provides Update on Closing of Northumberland Gold Project Acquisition

StrikePoint Gold Inc. has announced that the closing date for the acquisition of the Northumberland Gold Project from Newmont Corporation subsidiaries is expected on or about October 6, 2026. The company confirmed the release of funds from a previously completed $190,000,000 bought deal of subscription receipts to fund the acquisition. This financing will provide approximately C$90m in cash for project advancement.
A share consolidation of 10-for-1 is set to take effect on October 2, 2026, reducing the share count to approximately 7.2 million pre-conversion, expanding to ~102.2 million post-conversion of the financing receipts.
The Northumberland Gold Project is located in Nevada, USA. Trading in Shares remains halted pending final TSX Venture Exchange approval and closing of the Transaction. The $190,000,000 bought deal of subscription receipts of a subsidiary of the Company has been completed, with funds to be released upon closing of the acquisition. The proceeds are designated to fund the purchase of Northumberland and provide working capital.
The projected cash position is approximately C$90m in cash post-closing to undertake resource expansion, infill, and technical/economic/environmental studies. Regarding the share consolidation, the ratio is 10 pre-consolidation Securities for every 1 post-consolidation Security. The effective date is October 2, 2026. The post-consolidation share count is approximately 7,239,238 common shares, while the post-conversion share count is approximately 102.2 million shares after subscription receipts convert. Interests of 0.50 or higher will be rounded up, while interests of less than 0.50 will be cancelled. New identifiers for the securities are CUSIP 86332K509 and ISIN CA86332K5098.
An amended NI 43-101 Technical Report for the Northumberland Gold Project was filed on SEDAR+ at the request of the TSX Venture Exchange. No material changes were reported. The Qualified Person is Michael G. Allen, P. Geo, President and CEO.
