The capital is designated for exploration activities and general corporate purposes. Each unit consists of one common share and one transferable common share purchase warrant.
The warrants issued to investors carry a $0.20 exercise price and have a 12-month term from issuance, expiring on September 29, 2027. Insiders participated in the offering by purchasing 900,000 units. Finders received $80,400 in cash along with 643,200 non-transferable warrants, which also carry a $0.20 exercise price and expire on September 28, 2027.
The securities are subject to a statutory hold period of four months and one day, which expires on January 29, 2027. An acceleration provision is included in the terms, which triggers if the share price closes at or above $0.30 for five consecutive trading days after the hold period ends. This provision allows the company to force warrant exercise with 30 days' notice.
