NexMetals Announces C$65 Million Public Offering of Units
None

On October 28, 2025, NexMetals announced a public offering to raise gross proceeds of C$65 million. The offering consists of 11,403,509 units priced at C$5.70 per unit. Each unit includes one common share and one common share purchase warrant. Each warrant allows the holder to purchase one additional common share at an exercise price of C$8.00 for a period of 24 months.
The proceeds will be used for the prepayment of the first contingent milestone payment for the Selebi and Selkirk mines, to advance exploration and development activities at these projects in Botswana, and for general corporate purposes. The offering was preceded by a trading halt.
This financing is a material and positive development for NexMetals, despite the inherent dilution and the offering price being at a 9.8% discount to the previous day's closing price. As a risk-averse analyst, my primary concern is a company's ability to fund its operations and secure its assets. This C$65 million financing addresses both concerns decisively.
- De-risking of Assets: The most critical use of proceeds is the prepayment of the milestone payment under the Asset Purchase Agreement (APA). Securing title to the flagship Selebi and Selkirk assets is a fundamental de-risking event that removes the primary existential threat to the company.
- Strengthened Balance Sheet: The company's cash position as of June 30, 2025, was C$26.5 million, with a high burn rate (net cash used in operations was C$21.7 million in the first six months of 2025). This financing was necessary and provides a substantial runway of at least 12-18 months to continue aggressive exploration and development programs.
- Execution of Strategy: Over the past several months, NexMetals has consistently delivered strong technical results, including significant drill intercepts expanding mineralization at both Selebi and Selkirk, and a major metallurgical breakthrough that could dramatically lower future CAPEX by eliminating the need for a smelter. This financing ensures the company has the capital to build on this momentum.
The dilution from the ~11.4 million new shares and the overhang from the ~11.4 million new warrants are notable negatives. The stock price is likely to face short-term pressure and gravitate towards the C$5.70 financing price. However, from a fundamental perspective, the company is now in a much stronger and more secure position to create long-term value. The successful raise validates the progress made to date and the potential of the Botswana assets.
NexMetals Mining Corp. is a mineral exploration and development company focused on its two flagship assets in Botswana: the Selebi Mines (Selebi North, Selebi Main) and the Selkirk Mine. These are past-producing mines containing copper, nickel, cobalt, and platinum group elements (PGEs). The company's strategy is to redevelop these assets by applying modern exploration techniques (geophysics, targeted drilling) and processing technologies (ore sorting, improved metallurgy) to expand the known resources and improve project economics. The political stability of Botswana is a key jurisdictional advantage.
