Lincoln Gold hoping to close second tranche on Aug. 11

Mr. Paul Saxton reports LINCOLN GOLD ANNOUNCES INTENTION TO CLOSE SECOND TRANCHE OF PRIVATE PLACEMENT FINANCING Further to Lincoln Gold Mining Inc.'s news releases dated June 5, 2025, July 9, 2025, and July 16, 2025, the company intends to close a second tranche of its previously announced non-brokered private placement financing on Aug. 11, 2025, or such later date as the company may determine. The company intends to raise gross proceeds of up to $1,014,400 through the issuance of 6,762,666 units of the company at a price of 15 cents per unit. Each unit will consist of one common share in the capital of the company and one-half of one non-transferable common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share at a price of 35 cents for a period of 24 months from the date of issuance thereof. Paul Saxton, president and chief executive officer, states: "The company intends to use the proceeds from the second tranche for general administrative expenses while moving toward the company's goals of bringing the Bell Mountain project into production and completing the production permitting at the Pine Grove project." All securities issued pursuant to the second tranche will be subject to a hold period of four months and one day from the date of issuance in accordance with applicable securities laws. Finders' fees may be payable to qualified individuals comprising common shares, warrants, cash or any combination thereof. The second tranche and any subsequent tranches remain subject to the final approval of the TSX Venture Exchange. About Lincoln Gold Mining Inc.
