Boron One closes $134,000 final tranche of financing

BORON ONE ANNOUNCES SECOND AND FINAL CLOSING OF FINANCING
Boron One Holdings Inc. has accepted additional subscriptions for 3.35 million units at a price of four cents per unit for gross proceeds of $134,000. It paid cash commissions totalling $10,120 and issued 90,000 broker warrants on the same terms as the unit warrants. Each unit is composed of one common share and one common share purchase warrant, exercisable for three years from the date of closing, at an exercise price of five cents in the first year and seven cents in the following two years subject to the company's option to accelerate the expiry date if the stock trades at 10 cents for 10 trading days.
With the first closing held on Aug. 22, 2025, the company raised $535,000 by the issuance of 13,375,000 units.
The common shares and warrants comprising the units will be subject to a four-month-and-one-day hold period in accordance with the policies of the TSX Venture Exchange and applicable securities legislation.
Related parties transactions in both closings account for 200,000 of the units to be issued to two insiders, making this a related-party transaction. The company is relying upon exemptions contained in sections 5.5(a) and 5.7 (a) of Multilateral Instrument 61-101 as the fair market value of the shares being issued to the insider is less than 25 per cent of the market capitalization of the company.
The company intends to use net proceeds of the private placement for working capital requirements.
The private placement is subject to approval from the TSX Venture Exchange.
