Storm Exploration Enters Agreement to Sell the Miminiska Project

None

Executive Summary

On December 1, 2025, Storm Exploration Inc. ("Storm") announced it has entered into a definitive agreement to sell its 100% interest in the Miminiska Project to European Electric Metals Inc. ("EVX").

The total consideration for the sale is approximately C$5.81 million, consisting of: - Cash: C$3,525,000 - Shares: 7,500,000 common shares of European Electric Metals. These shares are valued at C$2,287,500, based on a concurrent C$5,000,000 financing being completed by EVX at a price of C$0.20 per share.

The transaction is subject to several conditions, including TSX Venture Exchange approval, consent from the Eabametoong First Nation (EFN), and the successful completion of the financing by European Electric Metals.

Storm's President and CEO, Bruce Counts, stated that the proceeds will provide the company with a "robust treasury" to explore its remaining district-scale properties: Keezhik, Attwood, and Gold Standard. The company has outlined plans to commence drilling on the Gold Standard project in Q2 2026 and the Keezhik project in Q3 2026.

Material Impact

This news is materially positive and represents a transformational event for Storm Exploration. The company was in a dire financial position, and this transaction provides a critical lifeline.

  • Solves Financial Crisis: The most recent audited financials (for the year ended March 31, 2025) showed a working capital deficiency of C$1.14 million and only C$91,151 in cash. The company was settling management fees with shares and was at high risk of insolvency or requiring a highly dilutive financing to continue operations. The C$3.525 million cash injection completely resolves the balance sheet issues and eliminates near-term going-concern risk.
  • Valuation Accretive: The total deal consideration of approximately C$5.81 million is significantly higher than Storm's market capitalization of C$4.75 million (calculated prior to the trading halt). The cash component alone represents about 74% of the company's market value.
  • Strategic Pivot: The company is selling what it had previously referred to as its "flagship" Miminiska project, where a 3,000-metre drill program was planned as of March 2025. While selling a flagship asset is often a negative signal, in this context, it is a pragmatic and necessary move. It monetizes an asset for more than the value of the entire company, funds exploration on three other large properties, and allows the company to retain upside exposure to Miminiska through its shareholding in European Electric.
  • Execution Path Forward: Storm now has the capital to execute its exploration plans for 2026 on the Keezhik, Attwood, and Gold Standard properties without needing to access the capital markets.

The primary risk associated with this news is counterparty risk. The deal is conditional upon European Electric Metals successfully completing a C$5 million financing. If this financing fails, the deal could collapse, placing Storm back into a precarious financial state. Furthermore, C$2.29 million of the consideration is in EVX shares, the value of which is subject to market volatility and EVX's own exploration success. However, the cash portion alone is sufficient to de-risk the company's financial position for the foreseeable future.
