CEO PAUL LARKIN ACQUIRES 665,000 SHARES This news release has been disseminated by Paul Larkin, chief executive officer of Kelly Ventures Ltd., pursuant to National Instrument 62-103 (the Early Warning System and Related Take-Over Bid and Insider Reporting Issues) in connection with his acquisition of certain common shares of Kelly Ventures. On Oct. 6, 2025, the acquiror acquired 665,000 shares of the issuer at a price of six cents per share for total gross proceeds of $39,900, through a non-brokered private placement. The transaction represents a decrease of 4.38 per cent in the acquiror's total securityholding percentage in the issued and outstanding common shares of the issuer. Prior to the transaction, the acquiror owned and controlled 1.2 million common shares of the issuer, representing 28.63 per cent of the then issued and outstanding common shares of the issuer. Subsequent to the transaction, the acquiror owned and controlled 1,865,000 common shares of the issuer, representing 24.25 per cent of the current issued and outstanding common shares of the issuer.
