Algo Grande Copper Announces Upsizing of Private Placement

Algo Grande Copper Corp. (ALGR) has upsized its previously announced non-brokered private placement, increasing the maximum aggregate gross proceeds from $3,000,000 to up to $5,000,000. The offering consists of up to 8,333,333 common shares priced at $0.60 per share. Proceeds from the transaction are designated for ongoing drilling and exploration at the company’s 100%-owned Adelita Project in Sonora, as well as for additional operating costs and general working capital requirements.

Eligible finders participating in the transaction may receive a cash commission of 6% of aggregate gross proceeds from introduced purchasers. Additionally, these finders will receive Finder Warrants equal to 6% of the number of shares purchased by those purchasers. Each Finder Warrant allows the holder to acquire one share at an exercise price of $0.75 for a period of 24 months from issuance.

The securities are subject to a four-month hold period, expiring four months and one day from the date of closing. The offering is not subject to a minimum subscription amount but requires all necessary regulatory approvals, including approval from the TSX Venture Exchange.

Insiders may participate in the offering, which could potentially constitute a "related party transaction" under National Instrument 61-101. The Company intends to rely on exemptions from formal valuation and minority shareholder approval requirements in this regard. Securities offered in this transaction are not registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States.
