McFarlane Lake Announces Completion of Strategic Investment in iMetal Resources, Inc.
Strategic neighbor acquires 20% stake and board seat to advance iMetal’s Gowganda West project.

McFarlane Lake Mining Limited completed a strategic investment in iMetal Resources Inc. (IMR), acquiring 14,200,852 units at $0.10 per unit for an aggregate price of $1,420,085. Post-closing, McFarlane holds approximately 19.9% of iMetal’s issued and outstanding common shares.
The transaction includes common share purchase warrants exercisable at $0.175 per share for three years, with an acceleration clause if the share price exceeds $0.40 for 20 consecutive days. An Investor Rights Agreement grants McFarlane the right to nominate one director to iMetal’s board, participate in future equity issuances to maintain pro rata interest, and provide technical oversight on the Gowganda property exploration.
The investment was part of iMetal’s fully subscribed non-brokered private placement of 30,000,000 units at $0.10 per unit, raising $3,000,000 in gross proceeds.
iMetal Resources Inc. (IMR) has completed a strategic investment that provides immediate capital and aligns the company with McFarlane Lake’s Juby project. This partnership is expected to reduce exploration risk and accelerate drilling programs through shared technical expertise. However, the transaction is dilutive, granting nearly 20% ownership to a single external party. The $3,000,000 raise is modest for a junior explorer and will likely only fund operations for a few months given the company’s burn rate.
The market was already aware of the proposed investment from the August 5 announcement, and the August 17 closing represents a routine execution of previously disclosed terms. Despite this capital injection, the strategic partnership does not resolve the company’s underlying liquidity crisis or going concern status.
iMetal Resources Inc. (TSXV: IMR, OTCQB: IMRFF) is an exploration-stage company with its flagship project, Gowganda West, located in Ontario’s Abitibi Greenstone Belt. The property covers 8,007 hectares and is contiguous to McFarlane Lake’s Juby deposits.
