Angkor Resources Announces $3,500,000 Financing

Angkor secures monthly tranche financing to fund Cambodian exploration activities while environmental impact assessment approvals are processed.

Executive Summary

Angkor Resources Corp. (ANK) has entered into a term sheet with institutional investor Sorbie Bornholm LP to raise approximately $3.5 million through the issuance of 14,000,000 units. The transaction structure provides proceeds as monthly cash tranches of approximately $145,000 over 24 months, contingent on an equity swap sharing agreement tied to the company's share price performance.

Each unit consists of 14,000,000 common shares at $0.25 per share, 3,710,000 warrants exercisable at $0.32 with a three-year maturity, and 10,290,000 additional warrants exercisable at a 5% premium to the 20-day volume-weighted average price (VWAP), pro-rated over 24 months with a three-year maturity. The equity swap benchmark price is set at $0.3144. Monthly settlements are based on VWAP: if the settlement price exceeds the benchmark, Angkor receives more than 100% of the tranche; if below, it receives less than 100%. No additional shares are issued if the price declines.

Proceeds are designated for assaying existing mineral core and planning further drilling at the Andong Bor copper porphyry and Andong Meas gold prospects. Closing is subject to TSX Venture Exchange approval and final agreements. Shares and warrants are expected to be free trading with no hold period.

Material Impact

Angkor Resources Corp. (ANK) secured financing to provide essential working capital for advancing exploration without triggering immediate, large-scale dilution. The deal features a capped share issuance and a price-contingent tranche mechanism designed to protect against downside equity dilution. However, the equity swap structure introduces a performance dependency: if the stock trades below the $0.3144 benchmark, monthly cash inflows will be reduced, potentially constraining operational pacing.

The transaction is a routine capital raise aligned with the company's stated plan to fund mineral exploration while awaiting Block VIII drilling approvals. It does not represent a fundamental change in project economics or a strategic pivot. Expected and incremental, the deal serves as a bridge to assay results and drilling contractor selection. While it mitigates near-term liquidity risk, it maintains the speculative nature of frontier exploration.

Company Overview

Angkor Resources Corp. (ANK) operates exploration projects in Cambodia, focusing on onshore oil and gas as well as base and precious metals. The company’s flagship asset is Block VIII, a 4,095 km² onshore oil and gas license. In 2025, Angkor completed 350 km of 2D seismic data, identifying multiple anticlinal targets including South Bokor, Central Bokor, North Bokor, and Kirirom. The Environmental Impact Assessment (EIA) has advanced to inter-ministerial review, with drilling planned for the fourth quarter of 2026 or the first quarter of 2027.

The company also holds mineral projects including Andong Bor, a copper-gold porphyry deposit, and Andong Meas, a gold-copper skarn and porphyry system. Recent drilling at Thmei North returned 286m @ 0.13% Cu. Exploration programs at Gossan Hills and Wild Boar are currently underway, targeting copper continuity and gold-bearing quartz veins.

Angkor recently increased its interest in Block VIII to 75% and divested its Saskatchewan assets to focus capital on its Cambodian operations.
