Vortex Metals Inc. has closed the first tranche of its previously announced non-brokered private placement, raising gross proceeds of $485,500. The capital was generated through the issuance of 9,710,000 units priced at $0.05 per unit. Each unit consists of one common share and one-half of a common share purchase warrant.
The warrants carry an exercise price of $0.06 and expire three years from issuance. They include an acceleration provision that triggers if the share price exceeds $0.20 for 10 consecutive days after 12 months. Finder’s compensation for the transaction includes $9,600 in cash and 192,000 non-transferable finder’s warrants, which also have an exercise price of $0.06 and expire in 36 months.
The company intends to allocate the proceeds toward exploration activities in Chile and Mexico, corporate development, and general working capital. The securities are subject to a hold period expiring on December 12, 2026, and require final acceptance by the TSX Venture Exchange.
