Lode Gold closes $8.05M first tranche of placement

LODE GOLD PROVIDES FIRST TRANCHE CLOSING UPDATE FOR UPSIZED $9 MILLION NON-BROKERED PRIVATE PLACEMENT
As requested by the TSX Venture Exchange, Lode Gold Resources Inc. is issuing this new release to provide additional information relating to and clarifying the status of its non-brokered private placement financing upsized to $9-million as announced on July 22, 2026. Being oversubscribed, subscriptions for the first tranche of the offering were closed off on July 22, 2026. With conditional approval for the expanded offering received, the company has closed the first tranche of the offering issuing 29,845,073 units at a price of 27 cents per unit for gross proceeds of $8,058,170. All securities issued will be subject to a statutory hold period in accordance with TSX-V policies. The company expects to complete the second and final tranche of the offering shortly.

The Fremont gold mine project (Fremont Gold Mining LLC) is a brownfield project in Mariposa, Calif., with 43,000 metres drilled, 10,000 underground channel samples, 14 adits and two shafts. Mining was halted in 1942 due to the gold mining prohibition during the Second World War. It was mined at 10.7 grams per tonne when price of gold was $35 per ounce. A preliminary economic assessment was completed in 2023. The PEA was based on 1.16 million ounces at 1.90 grams per tonne gold within 19.0 million tonnes indicated, and 2.02 Moz at 2.22 g/t Au within 28 Mt inferred with a composite cut-off. A mineral resource estimate was updated in 2026; 89 per cent of the ounces were left unmined if the company compares historical production with its current indicated resource. Average true widths at a one g/t cut-off is 53 metres. The project sits on greater than 3,000 acres of 100-per-cent-owned private and patented land, which is designated as OZ, Trump administration opportunity zone (special tax incentives).
The Dingman property is an orogenic deposit in Ontario, Canada, with over 22,000 metres drilled, with a 2013 PEA and an MRE: 376,000 oz at 0.94 g/t within 12.5 Mt measured and indicated and 47,000 oz at 0.71 g/t within 2.1 Mt inferred.
