Fuse Battery Announces Termination of Proposed Reverse Take-over Transaction and Concurrent Financing

Fuse Battery Metals Inc. (TSXV: FUSE) has terminated its previously announced proposed reverse take-over transaction with Pointor AI and the concurrent subscription receipt financing, as the financing conditions were not met within the required timeframe. The company has entered into a termination agreement effective August 10, 2026, releasing both parties from their obligations under the Share Exchange Agreement.
Fuse Battery Metals Inc. announced it will not proceed with the proposed subscription receipt financing and concurrent reverse take-over of 1545726 B.C. Ltd. dba Pointor AI. The financing was not completed within the timeframe contemplated by the Company and the TSX Venture Exchange. A termination agreement was entered into with Pointor AI dated August 10, 2026. The transaction is terminated effective August 10, 2026, and parties are released from obligations under the Share Exchange Agreement dated September 9, 2025 (as amended April 23, 2026).
The Company requested the TSX Venture Exchange lift the trading halt imposed in connection with the Proposed Transaction. Trading is expected to resume upon confirmation from the Exchange. Additionally, Andrew Gertler has resigned as a director of the Company.
"The Company appreciates the time and effort contributed by the management teams from both parties during the course of the negotiation process," the company stated. "The Company intends to continue pursuing growth opportunities through strategic acquisitions and may consider financing alternatives to support its working capital requirements and future business initiatives."
