None

Executive Summary

On November 13, 2025, Vizsla Copper announced a transformational acquisition of the Palmer Critical Minerals VMS Project in Alaska from Constantine Metal Resources Ltd. The Palmer Project has a significant existing mineral resource estimate. The acquisition terms include future milestone payments of $5 million upon an updated resource of at least 22 million tonnes and $10 million upon commencement of commercial production.

Concurrent with the acquisition, the company announced a non-brokered private placement of up to $25 million. The financing consists of: - Up to $20 million in non-flow-through (NFT) shares at $1.08 per share. - Up to $5 million in flow-through (FT) shares at $1.24 per share. - Up to $5 million in charity flow-through (CFT) shares at $1.72 per share.

To facilitate the financing and acquisition, the company also announced it will undertake a 1-for-10 share consolidation (rollback). The proceeds will be used for exploration at the Palmer Project, exploration on its British Columbia properties, acquisition costs, and general working capital.

Material Impact

This is a company-altering transaction that shifts Vizsla Copper's primary focus from its BC porphyry copper portfolio to a high-grade, advanced-stage VMS (Volcanogenic Massive Sulphide) project in a top-tier jurisdiction.
