Strategic Metals Options Yukon Copper-Gold Projects to GGL Resources Corp.
Strategic optioned its Yukon copper-gold assets to GGL Resources in a staged earn-in deal.

Strategic Metals Ltd. has granted GGL Resources Corp. a two-staged option to acquire up to a 100% interest in four Yukon mineral properties: Hopper, Kluane, Batt, and Moraine.
Under the first option, which covers a 70% interest, GGL must issue 1,000,000 post-consolidation shares to Strategic and incur $10,000,000 in exploration expenditures by December 31, 2029. These expenditures are tiered, requiring $2 million by December 2027, $3 million by December 2028, and $5 million by December 2029.
The second option allows GGL to acquire the remaining 30% interest for $3,000,000 by March 31, 2030. Upon full acquisition, Strategic retains a 2% Net Smelter Return (NSR) royalty, with GGL holding the right to buy back half of it for $3,000,000 prior to commercial production.
The transaction is subject to several conditions precedent, including a 4-for-1 share consolidation by GGL, TSX Venture Exchange acceptance, and special shareholder meetings for both companies by the end of August 2026. These meetings are required due to related-party transaction rules, as Strategic holds 30.35% of GGL.
Strategic Metals Ltd. (SMD) has structured the transaction as a continuation of its established "project generator" model, mirroring the May 2026 CD property option to GT Resources and the March 2026 sale of Byng/Mars to Cascadia Minerals. The deal is designed to be non-dilutive to existing Strategic shareholders until GGL completes its consolidation. This structure provides Strategic with immediate equity upside in the form of 1M shares and future cash payments totaling $13M, without requiring new capital raises.
By transferring exploration risk to GGL, Strategic preserves its approximately $5.4M cash position while retaining significant upside through a 2% NSR and its existing 30.4% stake in GGL. The announcement aligns with management's stated focus on monetizing mature assets and growing cash reserves without share dilution, representing an expected, incremental step rather than a surprise catalyst.
Strategic Metals Ltd. The Division Mountain Project contains 52.5 million tonnes of high-volatile bituminous coal, positioned to supply local energy needs. Additionally, the Triple Crown Project is a high-grade silver-gold epithermal target with chip samples returning up to 2,740 g/t Ag.
