Strategic Metals Ltd. Announces Acquisition of Control and Direction of Securities of Trifecta Gold Ltd. And Creation of 11 Additional NSR Royalties
Strategic secures deeper Trifecta stake and expanded royalty portfolio for its Yukon project.

Strategic Metals Ltd. has acquired an additional 6,265,000 common shares of Trifecta Gold Ltd., bringing its total holding to 8,296,579 shares. This stake represents 13.23% of Trifecta's issued and outstanding common shares.
The shares were issued as the final payment under a Property Option Agreement, serving as consideration for Trifecta's acquisition of a 100% interest in the Mt. Hinton, Rye, and nine other gold and silver projects located in the Yukon Territory's Tombstone Gold Belt. Strategic retains a 2% net smelter return (NSR) royalty on each project, with Trifecta holding the option to buy down the royalty to 1% for 1,500 ounces of gold or the cash equivalent.
Management stated the shares are held for investment purposes, with no current plans to acquire additional shares, dispose of shares, or take actions under National Instrument 62-103. An Early Warning Report was filed with the British Columbia and Alberta Securities Commissions.
Strategic Metals Ltd. (SMD) has completed the final settlement of consideration for Trifecta's Tombstone Gold Belt assets, a transaction that serves as the conclusion to previously announced property option agreements. The move aligns with the company’s established project generator model, which focuses on monetizing early-stage assets through equity swaps and royalty retention.
The acquisition increases Strategic Metals' equity exposure to Trifecta, potentially offering indirect upside if Trifecta’s drilling programs at Rye and other Tombstone Belt targets yield positive results. However, the deal does not introduce new operational milestones, revenue streams, or unexpected financial terms. There is no material change to Strategic Metals' cash position, debt profile, or near-term capital requirements. The market likely priced in the share issuance and royalty structure when the initial option agreements were disclosed, and the impact on the stock price is expected to be neutral to marginally positive.
Strategic Metals Ltd. (SMD) operates as a project generator, focusing on early-stage acquisitions, exploration, and the optioning or sale of mineral properties across Yukon, northern British Columbia, and the Northwest Territories. The company maintains a diversified portfolio that includes 81 wholly owned projects, 16 net smelter return (NSR) royalties, and significant equity stakes in advanced junior mining companies.
The company’s flagship Division Mountain coal project hosts a measured resource of 52.5 million tonnes of high volatile "B" bituminous coal. A Preliminary Economic Assessment released in August 2026 outlined a 30-year open-pit mine supplying a 100 MW coal-fired power plant, targeting an after-tax IRR of ~8% at $194/MWh.
The Hopper copper-gold project represents another core asset, featuring significant drill intercepts and positioned within the Dawson Range copper-gold belt.
