Copaur investor Pickle Chips acquires 15 M units

Mr. Andrew Neale reports COPAUR EARLY WARNING NEWS RELEASE Pickle Chips Pte. Ltd. issues this press release as required by National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, and National Instrument 62-104, Take-Over Bids and Issuer Bids, with respect to the acquisition of securities of Copaur Minerals Inc. On Nov. 19, 2025, Pickle Chips acquired ownership of 15 million units of the company at a price per unit of 10 cents for total consideration of $1.5-million in connection with the company's previously announced private placement, which closed on Nov. 19, 2025. Each unit comprises one common share of the company and one-half of one common share purchase warrant. Prior to the acquisition, Pickle Chips did not own any securities of the company. Subsequent to the acquisition, Pickle Chips owns, directly and indirectly, 15 million common shares and 7.5 million warrants, representing 12.45 per cent of the total issued and outstanding common shares on an undiluted basis and 17.58 per cent of the total issued and outstanding common shares on a partially diluted basis. The acquisition of the units by Pickle Chips was conducted for investment purposes. Pickle Chips may, in the future, purchase, hold, vote, trade, dispose of or otherwise deal in securities of the company in such manner it deems advisable.
