Executive Summary

On December 2, 2025, Xali Gold announced a non-brokered private placement to raise gross proceeds of up to C$1,500,000. The financing will consist of up to 15,000,000 units at a price of C$0.10 per unit. Each unit comprises one common share and one common share purchase warrant.
