Cambria Gold Mines Welcomes the Addition of Joe Driscoll, Paul Saxton and Ryan Weymark to its Board of Directors and Announces Results of Annual General and Special Meeting

Cambria Gold Mines Inc. (CAMB) announced the election of seven directors to its Board of Directors following its Annual General and Special Meeting held on June 29, 2026. The meeting resulted in the addition of three new directors—Joe Driscoll, Paul Saxton, and Ryan Weymark—who bring extensive mining engineering and operational experience to the board.
The newly elected directors include Joe Driscoll, a mining executive with 38+ years of experience and former Senior Vice President and Mining Sector Leader for AECOM, with a background in underground and surface mine operations. Paul Saxton is a Professional Engineer with experience in exploration, open pit, and underground mines globally, and a former chief mining executive and director for various public and private companies. Ryan Weymark, currently EVP and Director of Cambria, is also President and Co-Founder of Fuse Advisors Inc. (acquired by SLR Consulting) and a former VP, Technical Evaluations at NexGen Energy.
The board also saw the re-election of Alex Morrison as Chair, along with Robert McLeod, Andree St-Germain, and Jose Nestor Marun. Stephen Altman and Indi Gopinathan served as outgoing directors.
In addition to board changes, shareholders approved several administrative matters. These included setting the number of directors at seven, reappointing PricewaterhouseCoopers LLP as Auditors for the ensuing year, and approving a 10% rolling option plan ("New Option Plan") and a 10% fixed restricted share unit and deferred share unit compensation plan ("New RSU/DSU Plan"). Shareholders also approved the migration of outstanding stock options and RSUs/DSUs to these new plans and accepted, on an advisory basis, the philosophy and design of the Company's executive compensation.
Rob McLeod, President and CEO of Cambria Gold Mines, commented on the changes: "To align with our vision for a restart of the Premier Gold Project and development of the Red Mountain Deposit, we are pleased to have three accomplished mining engineers with proven mine development experience join our Board of Directors."
McLeod also acknowledged the contributions of the departing members: "I would like to thank outgoing directors Stephen Altman and Indi Gopinathan for their years of dedicated service. During a particularly challenging period for the Company they played an important role in helping guide the Company through a complex financial restructuring and strategic transition."
