Cybercatch Holdings appoints Shim as CFO

Mr. Sai Huda reports CYBERCATCH PROVIDES CORPORATE UPDATE Cybercatch Holdings Inc. has provided a corporate update. The company is continuing to grow its sales pipeline with larger sized deals in partnership with the two strategic resellers that it entered into partnership agreements with, as announced in July, 2025, that have existing contracts with U.S. government agencies. The company is also nearing development of its new agentic AI (artificial intelligence) automated and continuous cyber risk mitigation solution to evolve from the current generative AI solution so that the new advanced solution will provide upsell and cross-sell opportunities with current customers as well as serve as a catalyst and a sales accelerator for new customers. The company is pleased to announce Dong Shim, CPA and CA, as its new chief financial officer, effective Sept. 15, 2025. Mr. Shim is a highly experienced CPA and CA with extensive experience in public markets in the United States and Canada. He is the managing partner of Shim & Associates, the company's external auditor, and previously served as the partner in charge of the company's annual audit. The current CFO, Jennifer Thomas, CPA, has decided to resign for personal reasons, effective Sept. 15, 2025. The company has also engaged Charlton & Co., CPA and CA, as its external auditor for the annual audit, to replace Shim & Associates, effective Sept. 15, 2025, since Mr. Shim is now joining the company as its CFO. The company is also pleased to announce it has closed a non-brokered private placement for gross proceeds of $1-million for 200,000 units, with each unit consisting of one common share at $5 per share and one-half of one warrant. Each warrant is exercisable to acquire one additional common share at $6.50 for a period of 24 months from the date of issuance, with an acceleration subject to notice to holders of the warrants by way of news release if common share price is $7.50 per share for 10 consecutive trading days. No fractional warrant shares will be issuable upon exercise. The proceeds will be used primarily to grow sales and for working capital. The private placement involved participation from several current and new strategic investors. The shares are subject to the statutory four-month-and-one-day hold period and the transaction is subject to final TSX Venture Exchange approval.
