Capitan Silver to receive $6M investment from Schroders

CAPITAN SILVER TO RECEIVE C$6 MILLION INVESTMENT FROM SCHRODERS
Capitan Silver Corp. has entered into a subscription agreement with Schroders Investment Management Ltd., pursuant to which Schroders has agreed to purchase, on a non-brokered private placement basis, 2,955,665 common shares of the company at a price of $2.03 per common share for gross proceeds to the company of $5,999,999.95. The private placement, made through the Schroders ISF Global Gold Fund, together with the recently completed $23-million bought deal offering under the listed issuer financing exemption (the LIFE offering), will result in a combined equity raise of approximately $29-million through the issuance of an aggregate of 14,288,915 common shares at an issuer price of $2.03 per common share. The net proceeds of the private placement are expected to be used to finance exploration activities at the company's Cruz de Plata silver-gold project and for working capital and general corporate purposes. The private placement is expected to close the first week of January, 2026, and is subject to certain conditions, including, but not limited to, receipt of all necessary approvals, including the conditional acceptance of the TSX Venture Exchange. The common shares issued under the private placement will be subject to a four-month statutory hold period in Canada in accordance with applicable Canadian securities laws. Certain arm's-length parties may receive a cash finder's fee payment in connection with the private placement.
