Roxmore Resources and Taura Gold Complete Previously Announced Plan of Arrangement

On November 20, 2025, Roxmore Resources Inc. (formerly Axcap Ventures Inc.) announced the completion of its plan of arrangement to acquire all outstanding common shares of Taura Gold Inc. As a result, Taura has become a wholly-owned subsidiary of Roxmore. This follows a 10-for-1 share consolidation and name change from Axcap to Roxmore, effective November 19, 2025. The truly transformative events were the initial deal announcement, the installation of a new, experienced management team (ex-Roxgold), the acquisition of the Converse Gold Project, and the closing of a C$12.5 million financing on September 23, 2025.
The market reacted positively to these earlier announcements, with Taura's stock price increasing from $0.19 to a high of $0.37. The shareholder approval on November 14 made the final closing a high-probability event that was largely priced in.
