Founders Metals Closes $50,000,000 Strategic Investment by Gold Fields

On November 10, 2025, Founders Metals announced the closing of the previously announced C$50 million strategic investment by Gold Fields Netherlands Services B.V., a subsidiary of senior gold producer Gold Fields.
Founders issued 12,048,193 common shares at a price of C$4.15 per share. The proceeds will be used for land consolidation and regional exploration activities at the Antino Gold Project, as well as for working capital and general corporate purposes.
With the closing, the Investor Rights Agreement with Gold Fields is now effective. This agreement grants Gold Fields rights including, but not limited to, participation in future financings to maintain its ownership percentage, representation on a technical committee, the right to nominate one director to Founders' board if its ownership exceeds 12.5%, and the right to second technical staff to the project.
