Telescope closes $1.29M first tranche of financing

TELESCOPE CLOSES FINAL TRANCHE OF PRIVATE PLACEMENT
Telescope Innovations Corp. has closed the second tranche of its private placement under the listed issuer financing exemption (as defined below) and has issued 5,186,816 common shares of the company at a price of 25 cents per common share for gross proceeds of $1,296,704.
"We are very pleased with the outcome of our equity raise," announced Henry Dubina, chief executive officer of Telescope. "The proceeds will allow Telescope to fully execute our strategy and deliver a significant return for all of our stakeholders: customers, employees and investors."
In accordance with National Instrument 45-106, Prospectus Exemptions, the offering was made to purchasers resident in Canada, except Quebec, as well as certain jurisdictions outside of Canada, pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 and in reliance on the amendments to Part 5A of NI 45-106 set forth in Coordinated Blanket Order 45-935, Exemptions from Certain Conditions of the Listed Issuer Financing Exemption. The common shares offered under the listed issuer financing exemption are not subject to a hold period in accordance with applicable Canadian securities laws.
A finder's fee in the amount of $3,500 has been paid by the company in connection with the offering to an arm's-length party.
Marketing agreements
The company has entered into a marketing agreement dated Sept. 19, 2025, with Gold Standard Media LLC (GSM) and its affiliates for digital marketing services to the company. Under the GSM agreement, GSM will provide the company with marketing services, including digital marketing, creating landing pages, e-mail marketing and influencer marketing. In consideration for the GSM services, GSM will receive an aggregate upfront payment of $500,000 (U.S.) as well as reimbursement for marketing activities, which are expected to total $856,000. The GSM agreement has a six-month term, commencing on Nov. 1, 2025, unless terminated earlier in accordance with its terms. It may be terminated upon completion of the term or by either party at any time.
GSM uses third party service providers for the GSM services, which include its affiliates, Future Money Trends LLC, Wealth Research Group LLC and Portfolio Wealth Group LLC. GSM and its affiliates have a business address located at 723 W University Ave., Georgetown, Tex., United States, and can be contacted at 1-512-843-1723 and [email protected]. GSM and its affiliates are controlled by Kenneth Ameduri, Juliet Ameduri and Lior Gantz. GSM, its affiliates, as well as each of Mr. Ameduri, Ms. Ameduri and Mr. Gantz, are arm's-length parties to the company. Mr. Gantz, a control person of Wallace Hill Partners Ltd. and one of the principals of GSM, participated in the offering and holds a total of 3,226,816 common shares.
The company also entered into a marketing agreement dated Oct. 9, 2025, with Machai Capital Inc. for digital marketing services to the company. Under the Machai agreement, Machai will provide the company with marketing services for a six-month term, including branding, content and search engine optimization, and digital, social media, e-mail and brand marketing. In exchange for the Machai services, Machai will receive an aggregate upfront payment of $200,000 and a further $200,000 payable within the six-month term of the Machai agreement.
Machai has a business address located at Suite 101, 17565 58 Ave., Surrey, B.C., V3S 4E3, and can be contacted at 604-375-0084 and [email protected]. Machai is controlled by Suneal Sandhu. Machai and Mr. Sandhu are arm's-length parties to the company.
Compensation to each of GSM and Machai is not expected to include any securities of the company.
