NiCAN Announces Closing of Non-Brokered Private Placement for Gross Proceeds of $4,050,000
NiCan closed a $4.05 million flow-through financing to fund drilling at its Manitoba gold project.

NiCan Limited has announced the closing of a non-brokered private placement that raised gross proceeds of $4,050,015. The company issued 23,142,858 flow-through shares at a price of $0.175 per share.
The proceeds are designated for eligible Canadian exploration expenses related to mineral projects in Manitoba, with renunciations to purchasers required by December 31, 2026. Strategic investor Michael Gentile intends to exercise pre-existing warrants for approximately $560,000 to maintain his ~19.9% ownership interest.
The transaction carries a four-month and one-day hold period, with no finder's fees paid. The closing is subject to final approval of the TSX Venture Exchange.
NiCan Limited (NICN) has closed its $4.05 million financing, securing immediate liquidity to fund the planned exploration program at the Pipy South property. The capital will specifically target the expansion of the Horseshoe Gold Zone and the nickel massive sulphide system. The transaction utilized flow-through shares, a structure aligned with Canadian tax incentives for junior explorers that facilitates domestic investor participation and efficient capital deployment.
The closing serves as a direct follow-up to the allocation announcement made on October 19, 2026. Market participants were already aware of the financing terms, share count, and use of proceeds, meaning the closing confirms execution without altering the strategic thesis or financial outlook. Additionally, the proceeds extend the company's cash runway, reducing near-term dilution risk and supporting the Q2/Q3 2026 drilling timeline. The execution of the offering validates the company's ability to access capital markets despite its small-cap status.
Michael Gentile exercised warrants as part of the transaction, a move that prevents dilution of his strategic stake and demonstrates continued insider confidence in the exploration roadmap.
