Silver Elephant Receives Approval to Proceed with Robinson-Lasher Asset Acquisition Transaction
Silver Elephant issued shares and paid cash to advance the Robinson-Lasher acquisition, with title transfer pending.

Silver Elephant Mining Corp. (ELEF) announced on October 26, 2026, that it has received regulatory approval to proceed with the acquisition of the Robinson-Lasher zinc-germanium-gallium project from CleanTech Vanadium Mining Corp. The company has fulfilled initial consideration requirements by issuing 6,300,000 common shares to CleanTech at a deemed price of $0.13 per share and making the first cash payment of $85,000 USD.
The final transfer of title is contingent upon CleanTech exercising an option to acquire underlying fluorspar projects from a third-party vendor, a step Silver Elephant is facilitating but is not directly party to. Post-closing obligations require Silver Elephant to commit a minimum of $2,000,000 USD in exploration expenditures on the Robinson-Lasher Project and complete an independent NI 43-101 technical report by September 1, 2029. The issued shares are subject to a standard four-month-plus-one-day regulatory hold period under Canadian securities laws.
Silver Elephant Mining Corp. (ELEF) has reached a procedural milestone in its previously announced acquisition agreement dated June 12, 2026. The issuance of equity consideration and an initial cash payment confirms the execution of the deal structure, advancing the transaction toward closing contingent on a third-party option exercise by CleanTech.
The update does not introduce new valuation drivers, resource estimates, or operational changes. Instead, it serves as an incremental step aligned with prior management guidance. The agreement includes a $2 million exploration obligation and a technical report requirement by 2029, establishing a clear future capital need. However, the long-term timeline does not pressure immediate liquidity.
Market reaction to the announcement has been muted, with the stock trading at $0.15 on the announcement date.
