TempraMed Announces Granted Indian Design Patent for VIVI Cap Smart Product
Indian patent adds IP depth but revenue-sharing financing signals cash crunch

TempraMed announced on May 14, 2026 that the Indian Patent Office granted design patent No. 417105‑001 for its VIVI Cap Smart™ device, covering thermal‑insulation and smart‑monitoring architecture through May 16, 2039. Simultaneously, the Company renewed a Royalty Purchase Agreement (RPA) for US$500,000, delivering net cash of ~US$365,000 after settling the prior RPA balance. In exchange, the purchaser receives 10% of TempraMed’s group revenues plus a monthly service charge and a one‑time administrative fee. The RPA restricts additional debt above US$1 million and asset sales outside ordinary course. Funds are earmarked for inventory build. CEO Ron Nagar characterized the patent as a milestone for the global IP strategy.
The patent grant is a routine positive — the Company has booked a long string of IP wins in major markets (China, Brazil, South Korea, etc.) and this Indian design protection is incremental. The RPA renewal, however, is a material negative. It amounts to high‑cost, revenue‑destructive financing that gives away 10% of all future group revenues to a royalty purchaser. This indicates that TempraMed is unable to raise sufficient capital through equity or conventional debt on acceptable terms, despite closing a C$2.5 M placement in January 2026. The stock has plunged to an all‑time low of C$0.61, well below the C$0.76 placement price, and the RPA suggests the Company is burning cash faster than its distribution agreements can generate sales. For investors, the royalty obligation reduces the net revenue available to shareholders and raises going‑concern risk. The patent announcement does little to offset the negative signal sent by the costly financing.
