Omineca Provides Update On D&L Mining
Omineca raises $1.3m after JV partner bankruptcy pauses Wingdam operations.

Omineca Mining and Metals Ltd. (OMM) announced that D & L Mining Corp. (D&L), its joint venture partner and mining contractor for the Wingdam project, filed for voluntary bankruptcy on October 9, 2026. OMM holds a right of first refusal regarding D&L's interest, and multiple credible parties have expressed interest in acquiring it. The company’s strategic objective is to transition D&L's interest through the bankruptcy process and recommence placer operations at Wingdam as soon as possible.
Concurrently, OMM announced a non-brokered private placement of common share units and flow-through units for approximately $1.3 million in gross proceeds. Net proceeds from the financing will advance the Wingdam Lode Gold project and fund general working capital. No proceeds are allocated to the Fraser Canyon placer project. The company stated that the bankruptcy does not impact OMM's other projects or its lode gold exploration at Wingdam.
The bankruptcy of D&L introduces immediate operational uncertainty and potential delays at Wingdam, Omineca Mining and Metals Ltd.’s primary cash-generating asset. However, the company’s right of first refusal and the presence of interested buyers provide a clear path to regain operational control.
To address severe liquidity constraints, which left the company with just $58,757 in cash on hand, Omineca executed a $1.3 million private placement. While this financing provides short-term runway, it is highly dilutive and does not solve the underlying structural cash burn.
The news aligns with previous expectations of ongoing capital needs. The market has already priced in the financing risk, as evidenced by the stock trading near multi-month lows.
The transition timeline remains undefined, keeping near-term revenue generation in jeopardy. The company’s reliance on third-party contractors for core operations is a recurring risk that has now materialized.
Omineca Mining and Metals Ltd. is a pre-revenue junior explorer focused on the Wingdam Underground Paleoplacer Gold Recovery Project in the Cariboo Mining District, British Columbia. The flagship project targets rich paleoplacer gold buried approximately 50 meters beneath Lightning Creek. Operations are conducted via a 50/50 joint venture with D&L Mining.
The company is simultaneously exploring for the hard rock (lode) gold source that fed the placer deposits, utilizing a "reversed water flow" geological thesis. Its secondary asset is the Fraser Canyon project, under an MOU with PSI Group, which will fully fund exploration and development in exchange for a 75% carried interest.
