Omineca Announces Concurrent Non-Brokered Private Placements Available to All Existing Shareholders
Omineca raises $1 million through a dilutive placement to fund operations as the pre-revenue placer explorer burns through cash.

Omineca Mining and Metals Ltd. announced a concurrent non-brokered private placement raising $1,000,000 in gross proceeds. The offering consists of 10,000,000 Common Share Units at $0.05 per unit and 8,333,333 Flow-through Units at $0.06 per unit. Proceeds are allocated to eligible Canadian exploration expenses on the Wingdam Lode Gold Project via the Flow-through Units and to hard-rock exploration and general working capital via the Common Share Units.
Each unit includes warrants: Common units include one warrant; Flow-through units include one-half warrant. Warrants carry a $0.07 exercise price and are exercisable for 24 months from closing. The offering is available to existing shareholders and accredited investors, subject to TSXV acceptance and a four-month hold period.
Omineca Mining and Metals Ltd. (OMM) has secured survival financing for its pre-revenue exploration operations, which currently hold $58,757 in cash and face a $4.3 million working capital deficiency. The issuance was priced at $0.05 to $0.06 per unit, a range that aligns with the company’s current trading levels and indicates no premium to market value.
The capital raise is dilutive, adding approximately 18.3 million units, including warrants, to the capital structure. This funding extends the company's runway for drilling at the Wingdam Lode site and supports general operations, though it does not alter project fundamentals, timelines, or the company's status as a speculative explorer. As a financing round for a company at this stage, it is not expected to serve as a market-moving catalyst.
Omineca Mining and Metals Ltd. (OMM) is conducting active underground mining of paleoplacer gravels beneath Lightning Creek in the Cariboo District, British Columbia, through a 50/50 joint venture with D&L Mining. Initial recoveries from Crosscut #2 and #3A indicate increasing gold yields compared to bedrock contact zones.
The company is also running a diamond drilling program to target the hard rock source of the placer gold. The geological thesis suggests a proximal lode source exists 500 meters west of and at depths lower than the existing underground placer workings, associated with the Eureka Thrust Fault and Slide Mountain Terrane.
Regarding the Fraser Canyon Project, a historic placer gold property, an MOU with PSI Group outlines full financing by PSI in exchange for a 75% carried interest, with trial mining targeted for late 2026. Omineca holds a land base comprising 61,329 hectares of mineral tenures and 15+ linear kilometers of placer claims.
