Seabridge Gold To Explore Wyoming for Gold and Critical Minerals

Seabridge acquires the Slaughterhouse Wyoming IOCG project for $2.85m to expand its exploration portfolio in the region.

Executive Summary

Seabridge Gold Inc. has entered into a purchase agreement to acquire a 100% interest in the Slaughterhouse Project in southern Wyoming from Orogen Royalties Inc. The transaction includes 163 US mining claims along with associated geophysical survey results, geological mapping, sampling, and prospect evaluation data.

Financial consideration consists of a $300,000 upfront payment and potential milestone payments up to $2.55 million. Orogen Royalties retains a 2.5% Net Smelter Return (NSR) royalty on existing claims and a 0.5% to 1% NSR royalty within a broader area of mutual interest.

Management is targeting hematite iron oxide copper-gold (IOCG) deposits, a model underutilized in the Western US, with the goal of discovering large, high-grade gold and critical metal deposits. The acquisition aligns with Seabridge's stated strategy of applying modern exploration tools to novel geological concepts.

Material Impact

The financial impact of the transaction is immaterial relative to Seabridge Gold Inc.’s C$4.5 billion market capitalization and $127 million cash balance. Total consideration of up to $2.85 million represents less than 0.1% of current liquidity. The news does not trigger any immediate change to the KSM Project joint venture timeline or the H2 2027 feasibility study target.

The move represents an incremental, low-cost exploration step into a new jurisdiction and target type, consistent with historical exploration announcements. No new debt, dilution, or operational risk is introduced by this transaction.

Company Overview

Seabridge Gold Inc. (SEA) is a Canadian mining company focused on advanced-stage gold and copper projects in North America. Its flagship asset is the KSM Project in northwestern British Columbia, which is one of the world's largest undeveloped copper-gold deposits. KSM contains 47.3 million ounces of gold and 7.3 billion pounds of copper in proven and probable reserves.

The project achieved a "Substantially Started" designation in July 2024, which locks in environmental approvals for the life of the project, though it faces a court-ordered reconsideration regarding Indigenous consultation. Other assets include the Bronson Corridor (Iskut) project in BC, 3 Aces in Yukon, Snowstorm in Nevada, and the Courageous Lake project (spun out to Valor Gold in June 2026). The company is actively pursuing a joint venture partner to advance KSM to production, with a feasibility study targeted for completion in H2 2027.
