McEwen Signs US$55 Million Agreement to Sell Fuller and Paymaster

McEwen uses asset monetization to fund Fox Complex growth, though share-heavy consideration introduces dilution risk.

Executive Summary

McEwen Inc. has entered into a definitive agreement to sell its Fuller property, a 60% interest in the Paymaster property, and a Timmins surface rights parcel to Dome Mine Ltd., a subsidiary of Discovery Mining. The total consideration for the transaction is US$55 million, structured as US$5 million in cash and US$50 million in Discovery Mining common shares. These shares are subject to a statutory four-month-and-one-day hold period and will be priced based on a five-day volume-weighted average price (VWAP) ending two business days before closing.

The sale proceeds, combined with a US$13.5 million draw from a US$240 million McEwen Copper term loan closed in August 2026, provide approximately US$68.5 million in capital. These funds are designated for growth capital expenditures and development expenses at the Fox Complex, where the Stock Mine is entering production in Q4 2026, and El Gallo, where production is targeted for the second half of 2027. The transaction aligns with management's stated strategy to monetize non-core assets to fund a 250,000–300,000 gold equivalent ounces (GEOs) annual production target by 2030 while minimizing share dilution.

Material Impact

McEwen Inc. (MUX) is executing a standard capital allocation strategy by selling assets to fund growth without issuing new shares. The transaction is heavily weighted toward Discovery Mining equity, which accounts for $50 million of the $55 million total value. This structure introduces counterparty risk and potential dilution if Discovery's stock underperforms. The move does not re-rate the business or alter the core production profile, but it does de-risk near-term capital expenditure for the Stock Mine and El Gallo.
