Core Critical Metals Corp. Announces Final Court Approval of Plan of Arrangement and Closing Details
Core Critical completes the spin-out of Senneville and Timmins assets, isolating the LMSL project as its listed core.

Core Critical Metals Corp. (CCMC) has received final court approval for a statutory plan of arrangement to spin out its Senneville Project into Spinco1 and its Timmins Nickel Project into Spinco2. The arrangement became effective on October 9, 2026, with a record date of October 8, 2026.
Under the terms of the plan, existing CCMC shareholders receive one new CCMC share, one Spinco1 share, and one Spinco2 share for each CCMC share held. Existing CCMC shares are cancelled and replaced. CCMC shares will resume trading on the TSX Venture Exchange on October 14, 2026, under the symbol "CCMC".
Spinco1 and Spinco2 will not be listed on any exchange but will remain reporting issuers in British Columbia and Alberta. Outstanding options and warrants are adjusted in accordance with the arrangement terms.
Core Critical Metals Corp. (CCMC) has completed the final execution step of its corporate restructuring, a process approved by shareholders on September 28, 2026. The market had already factored in the spin-out structure and the 1-for-1-1 distribution ratio, making the recent court approval a procedural milestone rather than a new catalyst.
The restructuring isolates the LMSL project as the sole listed asset, while Senneville and Timmins become unlisted reporting issuers. This structure provides focused exposure but reduces liquidity for the spun-out portions, as Spinco1 and Spinco2 will not trade on a public exchange. No new capital is raised, and there are no changes to the company's exploration commitments or debt profile. The impact is incremental and expected, aligning with prior announcements and operationalizing the previously disclosed structure without altering the fundamental risk/reward profile.
Core Critical Metals Corp. is a North American exploration company focused on critical metals for electrification, technology, and defense. Its flagship asset is the Lucky Mike Silver-Copper-Tungsten Project, located in British Columbia’s Nicola Mining District. The 7,675-hectare property sits adjacent to Teck Resources’ Highland Valley Copper Mine and features historic resources of approximately 73.5 million tonnes at 0.23% copper equivalent.
The company’s portfolio also includes the LMSL project, which is retained by listed CCMC, as well as the Senneville project, which was spun to Spinco1, and the Timmins Nickel project, which was spun to Spinco2. Management has transitioned to a semi-annual reporting framework and is advancing AI-assisted targeting alongside inaugural drilling at Lucky Mike.
